Why does Pinder tell Penn that he's going to pretend to have never met Penn?

Pinder tells Penn that he's going to pretend to have never met Penn because of the danger involved by reopening the Payton case. In addition, Pinder doesn't want anyone to know that he had kept the original Payton case files and has now sold them to Penn.
